The Ironman Sponsor VIP Tickets Presented by Harman Giveaway (the “Giveaway”) is a promotion that is subject to these Official Rules (the “Official Rules”). No purchase is necessary to enter or win. A purchase or payment will not increase your chances of winning.

The Giveaway is sponsored by Harman International Industries, Incorporated, 400 Atlantic Street, Stamford, CT 06901 (the “Sponsor”). The Giveaway will be conducted on Sponsor’s website, www.jbl.com, on the following webpage: http://www.jbl.com/yurbuds-sport-headphones/ (the “Site”) from 9:00:00 AM Eastern Standard Time (“EST”) on June 16, 2015, to 8:59:59 AM EST on July 15, 2015 (“Giveaway Period”). All entries must be received within the Giveaway Period according to Sponsor’s internal time clock. Entries will not be considered if received after the Giveaway Period. These Official Rules form a binding

1. Eligibility: The Giveaway is open to U.S. legal residents who are the legal age of majority in their state and the District of Columbia, and at least 18 (but excluding U.S. military installations in foreign countries and all other U.S. territories and possessions) with a valid and working email address, for which each participant is the owner, at the start of the Giveaway Period. Any employees, supervisors, contractors, vendors (and members of their immediate families) of Sponsor or World Triathlon Corporation, its joint venture companies, subsidiaries, parent, or affiliates are not eligible to participate or win. The Giveaway is subject to all applicable federal, state and local laws, rules and regulations. Void where prohibited.
2. How to Enter the Giveaway: The only way to enter the Giveaway is by visiting Sponsor’s Site and signing up to join Sponsor’s newsletter database. Each participant must sign up via the Site and agree to receive periodic newsletters from the Sponsor. . Signing up is free and each participant may unsubscribe at any time. By signing up to receive Sponsor’s email notifications, participant will automatically receive one (1) entry into the Giveaway. Each participant must provide truthful and valid information, including a valid and functioning email address for the entry to be eligible and to be notified as set forth in Section 7.
   
   By participating in this Giveaway, each participant will receive email correspondence from, or on behalf of the Sponsor, subject to the Sponsor's privacy policy described in Section 8. Each participant may subsequently opt-out of receiving further emails by following the opt-out instructions contained in the email. By entering the Giveaway, each participant agrees to be bound by these Official Rules and the terms and conditions of the Site.
3. Limit of one (1) entry per natural person: Any entries in excess of such limit will render such excess entries null and void. Duplicate entries will not be considered.
4. Ineligible Entries: Incomplete, garbled, corrupted or illegible entries are void and will not be accepted. Sponsor is not responsible for lost, late, damaged, delayed, destroyed, misdirected, or incomplete entries.
   
   Sponsor reserves the right to disqualify false entries or entries suspected of being false. In the event of a dispute as to the identity of a Winner (defined in Section 5 below), the Winner will be deemed to be the person(s) who owns the email account submitted in the Giveaway entry.
5. Random Drawing; Prize: There will be one (1) winner (the “Winner”) selected by random drawing from among all eligible entries received. The total approximate retail value (“ARV”) for the prize offered during the Giveaway Period is $100-$2,000 USD. The ARV is dependent upon the event chosen by the Winner.
   
   The Winner will receive two (2) Sponsor VIP tickets (or passes) for Winner and guest to one (1) of the following 2015 IRONMAN events of Winner’s choosing: IRONMAN 70.3 Racine, IRONMAN Lake Placid, IRONMAN Boulder, Maytag IRONMAN 70.3 Steelhead, IRONMAN 70.3 Lake Stevens, IRONMAN 70.3 Timberman, IRONMAN Wisconsin, IRONMAN Lake Tahoe, IRONMAN 70.3 Lake Tahoe, Little Debbie IRONMAN Chattanooga, IRONMAN 70.3 Augusta, IRONMAN World Championship presented by GoPRo, IRONMAN Louisville, IRONMAN Florida, IRONMAN 70.3 Austin, or IRONMAN Arizona presented by Waste Management. Sponsor VIP passes grant Winner and guest access to various activities for the selected IRONMAN Event. Activities vary per location. No more than the stated number of prizes will be awarded. If there are not enough entries, then no prize will be awarded. Delivery of prize will be made after Sponsor verifies that Winner has met all eligibility requirements.
   
   Winner is solely responsible for arranging travel and accommodations, if necessary, and for all other expenses related to the prize, not specified herein, including but not limited to transportation, accommodations, travel insurance, and incidental expenses.
   
   No substitution, transfer, or cash redemption of prize permitted, provided however that Sponsor reserves the right to substitute a prize with another prize of equal or greater value should the advertised prize become unavailable for any reason. The Winner cannot assign or transfer their prize to another person or entity. The Winner is solely responsible for any and all federal, state, and local taxes on prize. All activities related to the prize are at the Winner’s own risk and subject to whatever restrictions are imposed by the entities that govern such activities. If the prize notification or any prize is returned as undeliverable, or if a Winner may not accept or receive a prize for any reason, the prize will be forfeited. Sponsor will not make multiple attempts to contact the Winner. Unclaimed prizes will not be awarded.
6. Odds: The odds of winning depend upon the number of eligible entries received.
7. Notification of Winner: The Winner will be notified on or before July 17, 2015, 11:59:59 EST. The Winner will be notified through the email account provided with the Winner’s entry. The Winner will be required to respond (as directed) within 48 hours of attempted notification and provide Winner’s full legal name, mailing address, and email address. The Winner may also be sent a “Release”. Unless restricted by law, the Winner will be required to complete and return the Release, if provided by Sponsor, within three (3) days from the date of notification. An alternate Winner shall be selected from among the remaining eligible entries in accordance with the selection criteria if a Winner: (i) fails to respond to notification of winning as required by these Official Rules; (ii) fails to sign and return the Release as required by these Official Rules; or (iii) cannot accept or receive the prize for any reason. The Winner will be sent the prize by mail or other delivery method after Sponsor receives the completed, signed Release, if provided by Sponsor, from the Winner. A participant is not a Winner of any prize until that participant’s eligibility has been verified.
8. Privacy: The information each participant provides in their entry will be used for administering this Sweepstakes and for marketing purposes in accordance with Sponsor’s privacy policy found here: http://www.harman.com/ENUS/SiteMap/Pages/PrivacyPolicy.aspx.
9. Publicity: By participating in the Giveaway, any participant in the Giveaway agrees to be bound by these Official Rules and irrevocably grants the Sponsor and its respective successors, assigns and licensees, and assigns the right to use (unless prohibited by law) such participant’s, name, voice, photograph, video or film clips, biographical information and/or other visual likeness in any and all media or format now or hereafter known without further compensation (financial or otherwise), permission or notification for any purpose, including without limitation, commercial, advertising and promotional purposes as well as in, on or in connection with Sponsor’s website and social media platforms, or the Giveaway or other promotions, and hereby release the Sponsor and each of its respective parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, agents, assignees, advertising/promotion agencies, representatives, and agents from any liability with respect thereto, to the extent permitted by law. During the Giveaway Period, the Sponsor may promote the Giveaway through various social media platforms including but not limited to internet forums, weblogs, and Sponsor’s site.
10. General Conditions: By participating in the Giveaway, participant agrees to be fully and unconditionally bound by these Official Rules and the decisions of Sponsor and waive any right to claim ambiguity in the Giveaway or these Official Rules. Any portion of the Giveaway may be canceled, suspended and/or modified, in whole or in part, if in Sponsor’s opinion any fraud, technical failure or other factor beyond Sponsor’s control impairs the integrity or proper functioning of the Giveaway. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Giveaway, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Giveaway, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Each participant may not enter with multiple identities or use any automated system, bot or other device or artifice to enter or obtain more than the maximum number of qualified entries. All federal, state or other tax liabilities (including income taxes) arising from this Giveaway will be the sole responsibility of the Winner. The Winner may be issued an IRS Form 1099 for the ARV of any awarded prize.
    
    Caution: any attempt to deliberately damage or undermine the legitimate operation of the Giveaway may be in violation of criminal and civil laws and will result in disqualification from participation in the Giveaway. Should such an attempt be made, Sponsor reserves the right to seek remedies and damages (including attorney fees) to the fullest extent of the law, including criminal prosecution.
11. Limitations of Liability: If for any reason an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, each participant’s sole remedy is to submit another entry into the same Giveaway during the Giveaway Period. Each participant and Winner also agree to release, discharge, indemnify and hold harmless Sponsor, World Triathlon Corporation, and its parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, assignees, advertising/promotion agencies, representatives and agents (collectively “Releasees”) from and against any claims, actions, liability, loss, injury or damages, disability, attorneys' fees, and costs of litigation and settlement, as well as any liability due to any injuries, damages or losses to any person (including, without limitation death to each participant, Winner or any third party) or real property of any kind resulting in whole or in part, directly or indirectly, by any reason, from: (i) use, redemption, acceptance, possession, ownership, or misuse of any prize, (ii) participation in any activity, event, or excursion offered in connection with the prize, (iii) use of any facility, service and/or accommodation related to the prize, or (iv) participation in any Giveaway-related activity or participation in this Giveaway. The Releasees shall not be liable for: (i) late, lost, delayed, misdirected, incomplete unreadable, inaccurate, garbled or unintelligible entries, communications or declarations, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind caused by the prize or resulting from acceptance, possession or use of a prize, or from participation in the Giveaway; or (v) any printing, typographical, administrative or technological errors in any materials associated with the Giveaway. Without limiting the generality of the foregoing, Releasees are not responsible for computer malfunctions, network connections, email delivery problems, Sponsor or third party systems failure or incompatibility, typographical, technical or key-stroke errors, or interruptions in your internet service, and for incomplete, illegible, misdirected, misprinted, late, lost, damaged or stolen notifications. In the event Sponsor is prevented from continuing with the Giveaway as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, explosion, labor dispute or strike, act of God or public enemy, or any federal, state or local government law, order, or regulation, or other cause not reasonably within Sponsor’s control (each a "Force Majeure" event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, or terminate the Giveaway. If the Giveaway is terminated before the designated end date, Sponsor may (if possible) select the Winner from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
12. Disputes: Disputes regarding these Official Rules and/or this Giveaway will be governed by the internal laws of the State of New York, and each participant irrevocably and unconditionally agrees that it shall not commence any action, litigation or proceeding of any kind whatsoever against Sponsor in any way arising from or relating to this Giveaway or these Official Rules in any forum other than appropriate district or State courts of the State of New York sitting in the Borough of Manhattan. Decisions of Sponsor are binding and final. No claimant in any dispute involving Sponsor shall be entitled to claim or obtain indirect, punitive, incidental or consequential damages. Sponsor’s failure to enforce any provision in these Official Rules shall not constitute a waiver of that provision. Except as prohibited by law and as a condition of participating in this promotion, each participant hereby waives any right he/she may have to participate in a class action or have a trial by jury for any litigation directly or indirectly arising out of, under or in connection with this Giveaway, or any related document, agreement or transaction
13. Giveaway Results: For Giveaway results and/or a copy of these Official Rules, each participant can submit a request to haley.spoeneman@harman.com up to 90 days after the end of the Giveaway.
